Survey Introduction

Mercer is conducting a survey on the adoption of certain executive and board compensation practices.


Standards developed for publicly traded companies often migrate into the tax-exempt health care sector. As a result, new standards are beginning to emerge in the health care sector which we are tracking to continue to provide our clients with current practice information.


The practices we are surveying include the use of:


•  "Clawback" provisions in employment contracts, annual incentive plans and
long-term incentive plans


•  Long-term incentive plans


•  Internal vs. external benchmark standards to assess executive performance


•  Tax gross-ups


•  Non-competes


•  Board governance


•  Board compensation
